Terms of Service

1. Introduction & Service Description

RenameAI ("we," "our," or "us") provides an AI-powered bulk image renaming service (the "Service"). By accessing or using RenameAI at renameai.online, you ("you" or "User") agree to be bound by these Terms of Service ("Terms").

RenameAI operates as a middleware platform. When you upload images to our Service, we transmit them to third-party artificial intelligence APIs and large language model providers (including but not limited to NVIDIA NIM, OpenAI, Google AI, and OpenRouter) for the purpose of analyzing visual content and generating descriptive filenames. We do not host, train, or operate our own AI vision models.

If you do not agree to these Terms, you must not use the Service.

2. Third-Party AI Processing & Data Handling

You acknowledge and expressly agree that:

  • All images you upload to the Service are transmitted to one or more third-party AI providers for analysis and processing.
  • The specific third-party provider(s) used may vary depending on availability, the naming style selected, and our internal routing logic.
  • We do not control, and are not responsible for, how these third-party AI providers handle, store, process, or use your data, including whether they use your data for model training or other purposes.
  • Each third-party AI provider has its own terms of service, privacy policy, and data processing agreements. You are encouraged to review these policies directly at the respective provider's website.
  • We make no warranties or representations about the privacy, security, or data handling practices of any third-party AI provider.

⚠️ Important: If you are subject to GDPR, HIPAA, or any other data protection regulations, you must ensure that your use of third-party AI providers through our Service complies with your regulatory obligations. We recommend not uploading sensitive, personal, or confidential information to any AI-powered image processing service.

3. User Representations & Warranties

By using the Service, you represent and warrant that:

  • You own all images you upload, or have obtained all necessary licenses, rights, consents, and permissions to upload and process them through our Service.
  • Your images do not contain any content that infringes upon the intellectual property rights, privacy rights, or any other rights of any third party.
  • Your images do not contain illegal, obscene, defamatory, or otherwise unlawful content.
  • If your images contain personal data of identifiable individuals (including faces, license plates, or other identifying features), you have obtained their clear and unambiguous consent for the processing described in these Terms.
  • You will not use the Service to generate filenames that are illegal, harassing, discriminatory, or otherwise objectionable.
  • You are at least 18 years of age or the age of majority in your jurisdiction.

4. Prohibited Content & Automated Moderation

🚫 Absolutely Prohibited Content

You are strictly prohibited from uploading, processing, or transmitting any image containing:

  • Child sexual abuse material (CSAM) — any sexualized content involving minors under 18 years of age. This is a criminal offense and will be reported to law enforcement.
  • Child exploitation — any content depicting the exploitation of minors.
  • Extreme violence or gore — graphic depictions of death, serious injury, torture, or violent acts.
  • Terrorist content — propaganda, recruitment material, or content supporting terrorist organizations.
  • Hate symbols and hate speech imagery — Nazi symbols, KKK imagery, or any content promoting hatred against protected groups.
  • Non-consensual intimate imagery (“revenge porn”) — intimate images shared without consent.
  • Self-harm or suicide encouragement — content depicting or encouraging self-harm.
  • Bestiality or animal abuse — sexual content involving animals or depictions of animal cruelty.
  • Illegal weapons or drug manufacturing — instructions or depictions of illegal weapons production or drug manufacturing.
  • Harassment or bullying — content intended to harass, intimidate, or bully individuals.
  • Any other content that violates applicable laws in Germany, the European Union, or your jurisdiction.

4.1 Automated Moderation

All uploaded images are automatically scanned using AI-based content moderation before processing. This moderation system analyzes images for prohibited content categories and will flag any suspicious content.

4.2 Consequences of Violation

If our automated moderation system detects prohibited content:

  • Immediate Rejection: The image will not be processed and an error will be returned.
  • Account Suspension: Your account will be immediately suspended, regardless of subscription status (free or paid). No refunds will be issued for paid accounts suspended for prohibited content.
  • Evidence Preservation: The flagged image, along with metadata (timestamp, uploader information, moderation results), will be securely preserved as evidence. Flagged images are never automatically deleted.
  • Law Enforcement Reporting: Where required by law (including but not limited to CSAM detection), we will report the incident to relevant authorities, including the National Center for Missing & Exploited Children (NCMEC), local law enforcement, or the Federal Criminal Police Office (Bundeskriminalamt) in Germany.
  • IP Ban: We may permanently ban your IP address and any associated accounts.

4.3 Evidence Retention

Flagged images and related metadata are retained indefinitely in a secure, access-restricted evidence directory. This evidence may be shared with law enforcement authorities upon lawful request. We reserve the right to retain this evidence for the full statute of limitations applicable to the detected violation (up to 30 years for serious criminal offenses under German law).

4.4 Appeal Process

If you believe your content was incorrectly flagged, you may appeal by emailing appeals@renameai.online with your account email and a description of the flagged content. We will review the moderation decision manually. However, we reserve the sole discretion to determine whether content violates these Terms.

5. Data Retention & Deletion

Uploaded images are processed in real-time and are deleted from our servers shortly after processing completes (typically within minutes). We do not retain your original images beyond what is necessary to provide the Service.

Generated filenames and usage metadata (file count, naming style selected, timestamps) may be retained for analytics and service improvement purposes. No personally identifiable information is stored unless you voluntarily provide it (e.g., email address for account creation).

6. Intellectual Property

Your Content: You retain all ownership and intellectual property rights to the images you upload. We claim no ownership over your content.

Generated Filenames: The filenames generated by the AI are provided on an "as-is" basis. We do not assert copyright or ownership over AI-generated filenames.

Service & Brand: The RenameAI name, logo, and website design are our intellectual property. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

WE ARE NOT RESPONSIBLE FOR THE ACCURACY, QUALITY, OR APPROPRIATENESS OF AI-GENERATED FILENAMES. Filenames are generated algorithmically and may contain errors, inaccuracies, or inappropriate suggestions. You are solely responsible for reviewing and verifying all generated filenames before use.

WE EXPRESSLY DISCLAIM ALL LIABILITY ARISING FROM OR RELATED TO THE DATA HANDLING PRACTICES OF THIRD-PARTY AI PROVIDERS (including NVIDIA, OpenAI, Google, OpenRouter, and any other providers used by the Service).

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENAMEAI, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) €100.

THIS LIMITATION OF LIABILITY APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless RenameAI, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the Service;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
  • Any claim that your uploaded images caused damage to a third party;
  • Any dispute or issue between you and any third-party AI provider arising from your use of their services through our platform.

10. GDPR Compliance & Data Processing

If you are located in the European Economic Area (EEA), the United Kingdom, or Switzerland, the following additional terms apply:

  • Data Controller: RenameAI acts as a data controller for the personal data you provide (e.g., email address) and as a data processor for the images you upload.
  • Legal Basis: We process your data based on (a) the performance of a contract with you (Article 6(1)(b) GDPR), (b) our legitimate interests in providing and improving the Service (Article 6(1)(f) GDPR), and (c) your consent where required (Article 6(1)(a) GDPR).
  • International Transfers: Your data may be transferred to and processed in countries outside the EEA (including the United States). We use Standard Contractual Clauses (SCCs) approved by the European Commission as an appropriate safeguard for such transfers.
  • Your Rights: You have the right to: access your data, request rectification, request erasure (“right to be forgotten”), restrict processing, object to processing, data portability, and withdraw consent at any time.

⚠️ Third-Party GDPR Compliance:While we take our GDPR obligations seriously, we cannot guarantee that third-party AI providers (NVIDIA, OpenAI, Google, OpenRouter) are fully GDPR-compliant in their handling of your images. You should review each provider's GDPR compliance documentation before uploading sensitive data. If GDPR compliance is critical to your use case, consider using only providers with EU-hosted instances or documented GDPR compliance.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive (including indemnification, warranty disclaimers, and limitations of liability).

12. Changes to These Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

If you do not agree to the modified Terms, you must stop using the Service.
